Terms of Service

By creating a TwoTop account or using the TwoTop service ("Service") provided by Parallax Strategies ("TwoTop," "we," "us"), you ("Customer," "you") agree to these Terms of Service ("Terms").

You warrant that you have the right to monitor reviews and other public-facing content for the business locations you submit to the Service. You will not use TwoTop to monitor or analyze businesses you do not own, operate, or have authorization to represent.

You are responsible for the accuracy of brand and location data you provide, including any URLs, place identifiers, and operational data uploaded or connected to the Service.

You will not (a) resell or redistribute raw scraper data, (b) use the Service to scrape brands you do not own, (c) reverse engineer the Service, (d) interfere with the operation of the Service or other customers, or (e) violate the terms of any platform from which the Service ingests public information.

The Service collects publicly available review and rating data from third-party platforms (including Google, Yelp, Trip Advisor, Facebook, Open Table, Resy, DoorDash, Uber Eats, and GrubHub) using third-party data-collection services. The Service may also process operational data you connect or upload, such as point-of-sale transaction summaries.

The Service lets you connect third-party accounts such as Google Business Profile and Square. By connecting an account, you authorize TwoTop to access it and act on your behalf as described at the time of connection — for example, publishing a reply you have approved to your Google Business Profile. You represent that you are authorized to grant that access, and you can disconnect an integration at any time in Settings.

The Service uses artificial intelligence to classify reviews and draft suggested replies. Drafts are suggestions only and may contain errors. You are responsible for reviewing, editing, and approving any content before it is published, and for everything published from your account.

You retain all rights, title, and interest in your data. We retain rights to the Service, the software, the user interface, and any aggregated, anonymized analytics derived from use of the Service.

You will defend, indemnify, and hold harmless TwoTop and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your misuse of the Service, (b) your violation of any platform's terms of service in connection with data submitted to the Service, or (c) your violation of any applicable law.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that review data collected from third-party platforms is complete, current, or accurate, or that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, TwoTop's aggregate liability for any claim arising out of these Terms or the Service will not exceed the fees you paid TwoTop in the twelve (12) months preceding the claim. TwoTop is not liable for indirect, incidental, special, consequential, or punitive damages.

Either party may terminate these Terms at any time. Upon termination, your right to access the Service ends. We may retain anonymized analytics and required records consistent with our Privacy Policy.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware.
